End-User License Agreement (EULA)

1. Agreement Overview

This End-User License Agreement (the "Agreement") is a legal agreement between you (the "User") and [XGAMES STUDIO] (the "Licensor") regarding the use of the software product (the "Software") provided by the Licensor. By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement.

2. License Grant

Subject to your compliance with the terms and conditions of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, and revocable license to install and use the Software for personal or internal business purposes.

3. Restrictions

You agree not to:

  • Modify, adapt, translate, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
  • Rent, lease, sublicense, distribute, sell, or otherwise transfer the Software to any third party.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in the Software.

4. Ownership

The Software is licensed, not sold. All rights, title, and interest in and to the Software, including any updates, enhancements, or modifications, shall remain the property of the Licensor or its licensors.

5. Updates and Upgrades

The Licensor may, at its sole discretion, provide updates or upgrades to the Software. Unless otherwise agreed, such updates or upgrades shall be subject to this Agreement.

6. Termination

This Agreement shall remain in effect until terminated. If you fail to comply with any term or condition of this Agreement, the Licensor may immediately terminate this Agreement. Upon termination, you must cease using the Software and destroy all copies in your possession.

7. Disclaimer

The Software is provided "as is" without any express or implied warranty, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Software.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the [People's Republic of China]. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively in the courts of the [People's Republic of China].

10. Entire Agreement

This Agreement constitutes the entire agreement between you and the Licensor with respect to the Software and supersedes all prior or contemporaneous understandings on such subject matter.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
